Terms and Conditions of Use of the Widgets

The Allkeyshop Affiliate Program License Agreement ("Agreement") constitutes an agreement between you (a single individual or entity) and Allkeyshop Inc. ("Allkeyshop") for the use of any Allkeyshop widget (as defined below). By copying or otherwise using the Allkeyshop widget(s), you agree to be bound by the terms of this Agreement; Allkeyshop reserves the right to change the terms of this Agreement at any time without notice. If you do not agree to the terms of this Agreement, you shall not copy or otherwise use the Allkeyshop widget(s).

Allkeyshop widgets are widgets composed of static elements such as the Allkeyshop logo and text, as well as dynamic elements including, but not limited to, photographs, titles, price lists, active links, or other Allkeyshop identifiers. The license is granted to the Allkeyshop widget(s) as a whole, and its component parts may not be dismantled for individual use.

The use of an Allkeyshop widget constitutes acceptance of the following:

1. LICENSE

1.1 The Allkeyshop widget may only be downloaded and displayed on an authorized website. An authorized website is a website that has received Allkeyshop's permission and is confirmed to be a member of the Allkeyshop Affiliate Program.

1.2 Allkeyshop grants you a limited, personal, non-transferable, royalty-free, and non-exclusive license solely for the display of Allkeyshop widget(s) on your authorized website. Said license may not be sublicensed.

1.3 You agree not to sell, assign, lease, loan, distribute, export, act as an intermediary or supplier, or otherwise grant to any third party the rights to all or any part of the Allkeyshop widget(s) by operation of law or otherwise.

1.4 You are prohibited from causing, permitting, or authorizing any modification of the Allkeyshop widget(s), including disassembling them or creating derivative works.

1.5 All rights, title, and interest in and to the Allkeyshop widget(s), including all intellectual property rights hereunder, shall remain the exclusive property of Allkeyshop; you acknowledge and agree that the Allkeyshop widget(s) are licensed and not sold.

2. USE OF ALLKEYSHOP WIDGETS

2.1 You may not modify or edit, directly or indirectly, the code of the Allkeyshop widget(s) or any content of the Allkeyshop website, except for the permitted modifications set forth in 2.2.

2.2 You may modify all or part of the following elements at any time in compliance with the administration tools made available to you by the Allkeyshop widget: Editorial control, colors, shape (vertical/horizontal), games, vendors, currency, location, (non-exhaustive list).

Allkeyshop has absolute editorial control over the content of the Allkeyshop.com website and may modify it, in whole or in part, at any time without notice. These modifications may have an impact on the elements displayed in the widget(s).

2.3 Click Counting for Affiliated Merchants: We would like to inform our users that not all clicks on merchant links featured on our website will be considered as qualified clicks for the purpose of any rewards, commissions, or benefits. Only clicks on merchant links of those stores that are officially affiliated with us will be counted as qualified clicks. Our affiliation with merchants is established through official partnerships and agreements.
If you are unsure whether a particular store is affiliated with us or not, we encourage you to reach out to us via email at support@allkeyshop.com for clarification.
We value transparency and strive to provide accurate information to our users regarding our partnerships.

2.4 YOU ARE PROHIBITED FROM ATTEMPTING, DIRECTLY OR INDIRECTLY, TO RESELL, REDISTRIBUTE OR OTHERWISE COMMERCIALIZE THE ALLKEYSHOP WIDGET(S) OR ALLKEYSHOP CONTENT.

3. PAYMENT

Payment will be given to you based on the number of valid and qualified clicks on ads or links displayed on your properties, or other valid events related to the display of ads on your properties, only if Allkeyshop determines that your properties have remained in compliance to the Allkeyshop terms throughout the entire period of payment and until the date the payment is issued.

Allkeyshop will pay you once a month after you request payment to your account, as long as your account is in good standing and traffic has been verified. You can only request payment from Allkeyshop when you have reached a minimum balance of €50. Please note that the balance shown in your account is not yet verified. You will receive the final payment amount after traffic has been verified.

If Allkeyshop is currently investigating your compliance with the Allkeyshop terms or your account has been suspended or terminated, your payment may be delayed or withheld. It is your responsibility to ensure that your account has accurate contact and payment information in order to receive payment in a timely manner.

Fees for any services may offset any payments. In addition, Allkeyshop may withhold and offset any payments owed to you under the Allkeyshop terms against any fees you owe us,, or require you to refund us within 30 days of any invoice for any overpayments made to you in previous periods. You are also responsible for any charges assessed by your bank or payment provider. Unless specifically authorized in writing by Allkeyshop, you may not enter into any arrangement with a third party where that third party receives payments made to you under the Allkeyshop terms or any other financial benefits in relation to the services. Payments will be calculated based solely on Allkeyshop's accounting.

Allkeyshop has the right to withhold or adjust payments to you to exclude any amounts that Allkeyshop determines are the result of invalid activity. Invalid activity includes, but is not limited to:

All clicks, impressions, queries, conversions, or other events in any account with a significant amount of invalid activity, as described above or with types of invalid activity can be indicating intentional misconduct.

If Allkeyshop detects invalid activity, either before or after issuing a payment for that activity, Allkeyshop reserves the right to debit your account and adjust future payments accordingly for all invalid clicks, impressions, queries, conversions, or other events, including for all clicks, impressions, queries, conversions, or other events on properties that do not adhere to the Allkeyshop terms.

4. REPRESENTATIONS AND WARRANTIES

4.1 By accepting this Agreement, you confirm that: (1) you have full authority to implement the Allkeyshop widget(s) and (2) you comply with all applicable municipal, state and federal laws, ordinances, and regulations in the performance of this Agreement.

4.2 You are prohibited, directly or through a third party, from using or displaying an Allkeyshop widget on any website that, in the opinion of Allkeyshop, falls into one or more of the following categories: sites that incite hatred or discriminate against or exploit a social group or individuals because of their race, religion, gender, sexuality, or other characteristic or belief; sites that encourage or facilitate violence, disruptive behavior, terrorism, or unlawful activities, including activities that endanger national security; sites that are unsuitable for children and that are false, defamatory or pornographic or promote or post otherwise objectionable content; or sites that disparage or otherwise tarnish the image or reputation of Allkeyshop or its partners.

4.3 You may not, directly or through a third party, remove, deface, obscure or alter any copyright, trademark or other proprietary notices of Allkeyshop affixed to or provided as part of the Allkeyshop widgets or any other content, materials, or documentation provided hereunder.

5. TRADEMARK

The Allkeyshop logo and all other product or service names or slogans displayed in Allkeyshop widgets or on the Allkeyshop website are registered and/or common law trademarks of Allkeyshop. Other logos and product and company names mentioned may be trademarks of their respective owners. All contents of the Allkeyshop website are ©2014 Allkeyshop. All rights reserved.

6. NO RECOMMENDATION

You are prohibited from suggesting, directly or indirectly, that Allkeyshop recommends or endorses your site, any entity, product, or content other than Allkeyshop, or the opinions expressed on your site or service.

7. INDEMNIFICATION

You agree to indemnify and hold harmless Allkeyshop, its affiliates and/or their respective suppliers, and their respective officers, directors, employees, and agents, from and against any and all claims, actions, demands, judgments, losses, damages, fines, penalties, and other costs or expenses of any kind, including without limitation reasonable legal and accounting fees, as a result of any third party actions arising out of your: (1) failure to comply with the Terms of Use or any document to which it may refer; (2) violation of any law or the rights of any third party.

8. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY

8.1 The Allkeyshop widgets are offered on an "as is" and "as available" basis by Allkeyshop, and Allkeyshop makes no warranties of any kind, express, implied, statutory, or otherwise, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, non-infringement, quality, compatibility, and accuracy with respect to the Allkeyshop widgets, the Allkeyshop website, and their contents.

8.2 TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALLKEYSHOP BE LIABLE TO YOU FOR ANY LOSS OR DAMAGE, INCLUDING WITHOUT LIMITATION, LOSS OF REVENUE, PROFITS OR DATA OR INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY, ARISING OUT OF OR IN CONNECTION WITH THE ALLKEYSHOP WIDGETS, THE ALLKEYSHOP WEBSITE OR ANY OF THE CONTENT OWNED, LICENSED OR DISPLAYED BY ALLKEYSHOP ON ALLKEYSHOP.COM, OR TO ANY VIRUSES OR OTHER CONTAMINATION OR ANY USE OR UNAVAILABILITY OF THE ALLKEYSHOP WIDGETS, THE ALLKEYSHOP WEBSITE OR THEIR CONTENTS, EVEN IF ALLKEYSHOP AND/OR ITS AFFILIATES AND/OR LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. TERMINATION, SUSPENSION, AND ENTITLEMENT TO FURTHER PAYMENT

Allkeyshop may, at any time and without prior notice, temporarily suspend further payments on your account, suspend or terminate the participation of any property in the services, or suspend or terminate your account due to reasons including, but not limited to, invalid activity or your failure to comply with the Allkeyshop terms.

Allkeyshop can close your account and terminate your participation in the services if your account remains inactive for a period of 6 or more consecutive months. If Allkeyshop closes your account due to inactivity and the balance reflected in your account is equal to or exceeds the applicable threshold, that balance will be lost. If Allkeyshop closes your account due to inactivity, you may submit a new application to use the services and your balance will be reset to 0.

If Allkeyshop terminates your account due to your breach of the Allkeyshop terms, including, but not limited to, causing or failing to prevent invalid activity on any property or your failure to fully comply with the Allkeyshop terms, you will not be entitled to any further payment from Allkeyshop for any prior use of the services. If you breach the Allkeyshop terms or Allkeyshop suspends or terminates your account, you are prohibited from creating a new account and may not be permitted to monetize content on other Allkeyshop products.

If you dispute any payment made or withheld in relation to your use of the services, or if Allkeyshop terminates your account and you wish to dispute the termination, you must notify Allkeyshop within 30 days of any such payment, non-payment, or termination by submitting an appeal. If you do not, any claim related to the disputed payment or termination will be waived. You may terminate your use of the services at any time by emailing Allkeyshop at support@allkeyshop.com.

Your Allkeyshop affiliate account will be considered terminated within 10 business days of Allkeyshop receiving your notice. If you terminate your account and the balance reflected in your account is equal to or exceeds the applicable threshold, we will pay you as outlined in the Payment section of our terms of use after verifying the qualifying clicks and sending you the final amount within approximately 90 days after the end of the calendar month in which you terminated your use of the services. Any balance reflected in your account below the applicable threshold will remain unpaid.
You are responsible for paying any taxes (if applicable) associated with the services, except for taxes based on Allkeyshop's net income. All payments to you from Allkeyshop concerning the services will be treated as including any applicable taxes and will not be adjusted.
